Datamuse LLC ('datamuse', 'it', 'we', 'our') developed and maintains the datamuse.io website ('website', 'services') which is a collection of online tools and services for facilitating complex management decisions.

These Terms and Conditions ("Agreement") governs the use of the Services that are made available by Datamuse LLC. These Terms and Conditions represent the whole agreement and understanding between Datamuse LLC and the individual or entity who subscribes ("Subscriber" or "You") to our service.

PLEASE READ THIS AGREEMENT CAREFULLY. By accessing or using the website or any applications (including mobile applications) made available by Datamuse (together, the "Service"), however, accessed, you agree to be bound by these terms of use ("Terms of Use"). The Service is owned or controlled by Datamuse LLC. These Terms of Use affect your legal rights and obligations. If you do not agree to be bound by all of these Terms of Use, do not access or use the Service.

1. Registration obligation

You may access areas of the website by becoming a Subscriber that require registration and creating an account with us. When you apply to use the website, you will be asked to select a Subscriber ID and Password. By registering on the website, you agree that:

  • your account and password are personal to you and may not be used by anyone else to access the website;
  • you will not do anything which would assist anyone who is not a registered user or participant under the registration requirements to gain access to any registration area of the website;
  • you will not create registration accounts for the purpose of abusing the functionality of the site, or other users; nor will You seek to pass yourself off as another user;
  • you agree to notify us immediately if you become aware any unauthorized use of your password or account identifiers by others;
  • you, and not Datamuse LLC, are responsible for any activity occurring in your account (other than activity that Datamuse is directly responsible for which is not performed in accordance with your instructions), whether or not you authorized that activity.
2. Subscriber responsibility

You may access areas of the website by becoming a Subscriber that require registration and creating an account with us. When you apply to use the website, you will be asked to select a Subscriber ID and Password. By registering on the website, you agree that:

  • You acknowledge and agree that it is your responsibility to safeguard the Subscriber ID and Password you select from any unauthorized use. IN NO EVENT WILL DATAMUSE BE LIABLE FOR THE UNAUTHORIZED USE OR MISUSE OF YOUR SUBSCRIBER ID OR PASSWORD. Subscribers are responsible for maintaining accurate account information at all times, including credit card and contact information.
  • If you operate an account, comment within an account, post material to an account, post links on the Website, or otherwise make (or allow any third party to make) material available by means of the Website (any such material, “Content”), You are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, or computer software. By making Content available, you represent and warrant that:
    • the downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
    • if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the Content, including but not limited to any software, or (ii) secured from your employer a waiver as to all rights in or to the Content;
    • you have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;
    • the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
    • the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);
    • the Content is not pornographic, does not contain threats or incite violence towards individuals or entities, and does not violate the privacy or publicity rights of any third party;
    • your account is not getting advertised via unwanted electronic messages such as spam links on newsgroups, email lists, other blogs and web sites, and similar unsolicited promotional methods;
    • and
    • you have, in the case of Content that includes computer code, accurately categorized and/or described the type, nature, uses and effects of the materials, whether requested to do so by Datamuse or otherwise.
3. Data and Content management
  • You are responsible for maintaining, protecting, and making backups of your Content. To the extent permitted by applicable law, Datamuse will not be liable for any failure to store, or for loss or corruption of, your Content.
  • Authorized Datamuse manager, employees, third party contractors may need to access account details specific to any requirement or improvement of the tools and services from time to time. You may not be notified of all access details by the representatives of Datamuse.
4. Termination of registration
  • If you no longer wish to have a registered account, you may terminate your account by sending an email to support@datamuse.io with the subject line 'Termination of account'. If you no longer accept these terms and conditions, or any future modification to these terms and conditions, you must cease using the website. Continued use of the website indicates your continued acceptance of these terms and conditions.
  • If, for any reason, we believe that You have not complied with these terms and conditions, we may, at our sole discretion, cancel your access to the registration areas of the website immediately and without prior notice.
  • We may terminate your registered account, at our sole discretion, by emailing you at the address you have registered stating that the agreement has terminated.
5. Age of Majority

By submitting your account application, you confirm that you are over 13 years of age and has agreed to accept this Agreement on your behalf.

6. Subscriptions, Fees, Renewals
  • Fees for Services-
    You agree to pay to Datamuse any fees for the Service you purchase or use (including any overage fees), in accordance with the pricing and payment terms presented to you for that Service. Where applicable, you will be billed using the billing method you select through your account management page. Fees paid by you are non-refundable, except as provided in these Terms or when required by law.
  • Subscriptions -
    Some of our Services are billed on a subscription basis (“Subscriptions”). This means that you will be billed in advance on a recurring, periodic basis (each period is called a “billing cycle”). Billing cycles are typically monthly or annual, depending on what subscription plan you select when purchasing a Subscription.
  • Your Subscription will automatically renew at the end of each billing cycle. We will notify You of about the next billing cycle before renewal of Subscription. If You chose not to renew your subscription please send a mail to us with the subject line “STOP RENEWAL' at support@datamuse.io
7. Taxes

Unless otherwise stated, you are responsible for any taxes (other than Datamuse's income tax) or duties associated with the sale of the Services, including any related penalties or interest (collectively, “Taxes”). You will pay Datamuse for the Services without any reduction for Taxes.

8. Price Changes

Datamuse may change the fees charged for the Services at any time, provided that, for Services billed on a subscription basis, the change will become effective only at the end of the then-current billing cycle of your Subscription.

9. Overage Fees

Unless otherwise stated, any overage fees incurred by you will be billed in arrears. Overage fees which remain unpaid for 30 days after being billed are considered overdue. Failure to pay overage fees when due may result in the applicable Service being limited, suspended, or terminated (subject to applicable legal requirements), which may result in a loss of your data associated with that Service.

10. Intellectual Property disclosure

All copyright, trademarks, design rights, patents and other intellectual property rights (registered and unregistered) belong to Datamuse and/or third parties (which may include you or other users).

11. Copyright Infringement policy
  • Content Posted on Other Websites- Datamuse has not reviewed, and cannot review, all of the material, including computer software, posted to the Website, and cannot therefore be responsible for that material's content, use or effects. By operating the Website, Datamuse does not represent or imply that it endorses the material that are posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Website may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. Datamuse disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.
  • If you have reasons to believe that material located on or linked to by datamuse.io violates your copyright, you are encouraged to notify Datamuse. Datamuse will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. Datamuse will terminate a visitor's access to and use of the Website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Datamuse or others. In the case of such termination, Datamuse will have no obligation to provide a refund of any amounts previously paid to Datamuse.

12. Disclaimer of Warranties

The Website is provided "as is". Datamuse and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Datamuse nor its suppliers and licensors, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through the website at your own discretion and risk.

13. Limitation of Liability

In no event will Datamuse, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Datamuse under this agreement during the twelve (12) month period prior to the cause of action. Datamuse shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

14. General Representation and Warranty

You represent and warrant that (i) your use of the Website will be in strict accordance with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

15. Indemnification

You agree to indemnify and hold harmless Datamuse, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.

Terms of Service Changes

Datamuse may change its Terms of Service from time to time, and in Datamuse's sole discretion. Datamuse encourages you to check this page for any changes to its Terms of Service. Your continued use of this site after any change in this Terms of Service will constitute your acceptance of such change.
